I. Description of the subject of the contract:
The subject of the contract is to provide comprehensive banking services to the Cooperation Fund Foundation (FFW), in particular:
1. Opening and maintaining the Ordering Party's current bank accounts in PLN and foreign currencies, which the Ordering Party holds on the date of concluding the banking services agreement. At the same time, the Ordering Party does not undertake to transfer all accounts and funds at the Ordering Party's disposal at the time of concluding the agreement with the Contractor.
2. Activation of a credit line in the current account in the amount of PLN 1,500,000, for the entire period of provision of banking services, i.e. until October 31, 2028, divided into 12-month periods, i.e.:
a) from November 1, 2025 to October 31, 2026,
b) from November 1, 2026 to October 31, 2027,
c) from 1 November 2027 to 31 October 2028.
3. The overdraft facility will be secured by:
a) a mortgage established on real estate – commercial premises, with an area of 1,464.79 m2, located in Warsaw at ul. Górnośląska 4A, worth over PLN 15 million (based on a valuation report prepared by a property appraiser in June 2023 – without the need to provide a new valuation prepared by an appraiser)
b) assignment of rights from each current insurance contract for the above-mentioned real estate
4. Opening, maintaining and closing new bank accounts in PLN and foreign currencies, used to perform the Ordering Party's tasks, no later than the next business day after the date of submission of the application to open/close the account.
5. Execution of transfer orders submitted electronically, in PLN and foreign currencies, to accounts in other domestic and foreign banks.
6. Execution of transfer orders submitted in paper form, in PLN and foreign currencies, to accounts in other domestic and foreign banks.
7. Acceptance of standing orders for execution at a price no higher than the fee for an electronic transfer.
8. Acceptance of orders placed with a future date for a price no higher than the electronic transfer fee.
9. Issuance and processing of payment cards.
10. Execution of transfer orders between the Ordering Party's accounts maintained by the Contractor.
11. Execution of cash payments/withdrawals made by the Ordering Party's employees or other persons authorized by the Ordering Party, in PLN and in foreign currencies.
12. Ensuring, i.e. 24 hours a day, 7 days a week, availability of teleservice – providing information on account status and operations on accounts, operations with payment cards issued at the request of the ordering party – after providing a password.
13. Providing current information on the Contractor's exchange rates in the electronic banking service or on the Contractor's website, with the option to print them. Providing funds in the account (including increasing the interest balance) on the day the customer's account is credited, meaning that on the day any amount of funds is credited to the Client's account, this amount will increase the balance of funds available for withdrawal and increase the balance on which interest will accrue.
14. Execution of transfer orders, understood as the transfer of funds to the ordered account of the Ordering Party's contractor, on the same day, if these orders were submitted to the bank:
a) at least by 3 p.m. – for single transfers in a currency other than PLN, ordered in standard currency (not as so-called instant transfers), to the contractor's bank account maintained by a bank other than the Contractor's,
b) at least by 3 p.m. – for single transfers in PLN, ordered in standard transfer (not as so-called instant transfers), to the contractor's bank account kept by a bank other than the Contractor's,
c) at least until 1 p.m. – for mass transfers in PLN,
d) 24 hours a day, 7 days a week – for transfers between the Ordering Party's accounts maintained by the Contractor,
e) 24 hours a day, 7 days a week – for instant/express transfers in PLN, to the contractor's bank account held by a bank other than the Contractor.
The deadline for submitting instructions for their execution on the same day may be shortened in exceptional situations (no more than twice a year), after prior notification by the Contractor to the Ordering Party.
15. Posting the debit of the Ordering Party's account for transfer orders in PLN, ordered in a mode other than instant transfer, on the same business day, if these orders were submitted after the last elixir session, but no later than 8:00 p.m. (the execution of these orders may take place on the next business day).
The deadline for submitting instructions for their execution on the same day may be shortened in exceptional situations (no more than twice a year), after prior notification by the Contractor to the Ordering Party.
16. The Ordering Party's account will be credited with the amounts on the same day on which their receipt at the bank is recorded.
17. Preparation of bank statements regarding operations related to the payment of remuneration to the Ordering Party's employees as follows:
bank statements will only present the total amounts debited to the account for salary payments, while in the electronic banking system, for authorized persons, summaries of individual salary amounts paid to individual employees will be available.
18. Providing ongoing information about the reasons for non-execution of an instruction/transfer. This means that if a transfer instruction submitted by the Ordering Party is not executed, the persons authorized to contact the Contractor on the Ordering Party's side will be immediately informed by the Contractor of the fact and reasons for the non-execution of the instruction.
19. The Contractor will appoint a consultant/advisor from among the Contractor's employees, the so-called Relationship Manager, with whom the Ordering Party will contact to discuss all current matters related to banking services; the Contractor will ensure regular contact by telephone, at least between 9:00 a.m. and 5:00 p.m., and by email.
20. FFW funds deposited with the Contractor will be placed in term deposits in PLN, on terms no worse than the WIBID interest rate adjusted by the Contractor’s margin, if any, or increased by any bonus that the Contractor may grant to the Ordering Party.
21. The Ordering Party additionally reserves the right to negotiate interest rates on term deposits, both for funds in PLN and funds in currencies other than PLN.
22. The Contractor will enable authorized employees of the Ordering Party to issue instructions for depositing funds by telephone.
23. The Contractor will provide the Ordering Party with the ability to purchase/sell foreign currencies at a preferential rate compared to the rate presented in the Bank's official exchange rates, and will enable persons authorized by the Ordering Party to negotiate the exchange rate with the Contractor's representatives. The preferential exchange rate will be applied both to the purchase/sale of currencies in cash and to PLN transfers from the Ordering Party's bank accounts held in foreign currencies, as well as foreign currency transfers from accounts held in PLN.
24. The Contractor is obligated to provide access to the electronic banking system, including providing the necessary software and access devices. The Contractor will provide the Ordering Party with access to the electronic banking system in both a desktop and mobile version.
25. The installed system will not generate additional telecommunications costs, the connection will be made via an encrypted internet connection, using electronic certificates and personal access control for each User authorized by the Ordering Party, secured with a PIN code of at least 6 alphanumeric characters, and in the case of transaction approval – based on electronic cards, tokens, codes sent via SMS or biometric devices.
26. The Contractor is obligated to ensure full system customization to the Ordering Party's needs, including customization of the beneficiary database for transfer processing purposes. Customization of the beneficiary database means that the current beneficiary database held by the Ordering Party for transfer processing purposes will be
implemented into the installed electronic banking system so that it can be used when preparing transfer orders in that system. The Ordering Party will provide the Contractor with the beneficiary database immediately after concluding the contract.
27. The electronic banking system will allow for the assignment of account names for identification purposes, both by number and name. Account names placed next to their numbers will be visible in the electronic banking system, on printouts from the system, and on bank statements. The field for entering the name should contain at least 20 alphanumeric characters. The system should enable the search (sorting) of accounts by name and number.
28. The electronic banking system provided by the Contractor will enable the execution and authorization of at least the following banking activities:
a) making domestic and international transfers (including consolidated, mass and group transfers), in PLN and in currencies other than PLN – also with a future transfer execution date,
b) ordering the execution of transfer orders in PLN in the standard mode,
c) ordering the execution of transfer orders in PLN in the immediate/express payment mode,
d) ordering the execution of transfer orders in PLN in SORBNET mode,
e) ordering cash payments (in PLN and currencies other than PLN) to a person indicated by the Ordering Party,
f) opening bank deposits,
g) submitting an order to issue a payment card to the debit of the Ordering Party’s bank account indicated in the order, an order to change limits, change card settings, an order to block and close the card, issue a duplicate card, change the PIN number,
h) submitting instructions for the Contractor to issue balance confirmations for individual bank accounts held for the Ordering Party as of the date indicated in the instruction,
i) updating the Ordering Party's contact details,
j) ordering the opening of new bank accounts in PLN and currencies other than PLN,
k) order to open a VAT account to the indicated bank account,
l) liquidation/closure of bank accounts,
m) adding users of the electronic banking system, granting users appropriate authorizations, defining acceptance schemes for individual instructions,
n) ordering the issuance of certificates regarding the Ordering Party's bank accounts maintained by the Contractor, information on the status of funds in the Ordering Party's bank accounts for the statutory auditor in connection with the audit
the Ordering Party's financial statements, bank opinions, information on the Ordering Party's financial situation for submission to the relevant offices/institutions.
29. The electronic banking system will provide quick and easy access to current information on the status of funds in the account(s) and all transactions carried out, in particular:
a) for all types of transactions, it will present at least: transaction date, order amount, contractor's identification data, contractor's account number, payment title,
b) creating reports for any period on operations on individual accounts (with the option of exporting data to files in pdf, doc, rtf, xls, txt formats) – both for a specific account and for a group of selected bank accounts; reports in editable formats must have the option of sorting, filtering and previewing the selected type of operation,
c) viewing the current balance on a selected account or a specific group of accounts,
d) preparing monthly statements of operations performed on accounts, for each account separately, containing the account number, its name (assigned by the Ordering Party), balance at the beginning of the month, descriptions and amounts of operations, balance at the end of the month,
e) preparing statements of operations performed on accounts, for any specified time period, for each account separately, containing the account number, its name (assigned by the Ordering Party), the balance at the beginning of the period, descriptions and amounts of operations, and the balance at the end of the period,
f) generating bank statements.
Historical data on operations on the contractor's bank accounts will be available in the electronic banking system for a minimum period of 24 months.
In addition, at the request of the Ordering Party, the Contractor will provide data from a period longer than 24 months back, both from active and closed accounts.
30. The Contractor is obligated to enable full use of electronic signatures within the electronic banking system. Furthermore, the electronic signature system must be consistent with the Client's existing authorization system, both in terms of amounts and authorizations to designated accounts in various
Authorization levels, meaning that the system of authorizations and authorization levels will also include individual quota limits limiting the acceptance rights of individual system users and automatically assigning rights to electronic access control so that the User authorized by the Ordering Party can only perform operations within the scope of the powers and authorizations provided. The Contractor will implement changes to authorization levels upon the Ordering Party's written request, submitted in paper form or via the electronic banking system.
31. All communication with the Contractor via the electronic banking system must meet high security requirements, including: protection against tampering during transmission, encrypted data transmission, and automatic blocking for a minimum of 0.5 hours after the fifth access attempt with an incorrect password. Furthermore, the system must maintain a log of all user activities. The Client is obligated to secure its own IT network and workstations against malware and hacking activities, and to secure electronic signature key carriers, passwords, and all identification codes in a manner that prevents unauthorized interception.
32. The Contractor is responsible for the consequences of unauthorized persons entering the system, and the Ordering Party is obliged to secure its own IT network and workstations against malicious software and hacking activities, and to secure the electronic signature key carriers, passwords and all identification codes in a way that prevents their interception by unauthorized persons.
33. The Contractor will ensure the proper functioning of the electronic banking system (including necessary service, including telephone). In the event of any disruptions to the functioning of the electronic banking system (whether the entire system or individual components), the Contractor will immediately notify the Ordering Party (e-mail, telephone).
34. In the event of a failure of the electronic banking system, the Contractor undertakes to accept orders in paper form (at the Contractor's registered office) without additional fee.

Funds under programmes/projects implemented by the Ordering Party as part of the implementation of tasks, FFW's own funds.

IV. Place and date of order fulfillment:
The order will be implemented over a period of 36 months starting from November 1, 2025.

V. Requirements for the Contractor (subjective criteria):
1. Economic and financial potential
The contractor must demonstrate that at the end of the last two financial years:
– had a share capital of not less than PLN 200 million,
– had equity capital (Fund) of at least PLN 2 billion.
2. Technical potential
The contractor must demonstrate that it has at least one branch within the Warsaw-Śródmieście district, open on weekdays at least from 9:00 a.m. to 5:00 p.m., which will provide the services covered by the subject of the contract, and at least one branch in each provincial capital in Poland.
3. Experience
The contractor must demonstrate that over the last three years it has provided or is providing banking services to at least one corporate entity with an annual turnover of at least PLN 100 million, which service corresponds in its type and scope to the subject of the contract.
4. Possession of an appropriate license authorizing the conduct of banking activities in Poland.
5. Possession of current civil liability insurance covering the business activity conducted as at the date of submitting the offer.

VI. Price, offer evaluation criteria:
1. The price specified in the offer should be expressed in Polish zloty, in gross amount, on the form: "Offer for the provision of banking services for the Cooperation Fund Foundation" constituting Annex No. 1 to this Request for Proposals.
2. The price given in the offer should include all costs related to the execution of the order and any discounts.
3. The price specified by the Contractor on the offer form is a lump sum price and will not be subject to increase for any reason during the term of the contract.
4. Settlements between the Ordering Party and the Contractor will be made in Polish zloty.
5. The Ordering Party will evaluate the offers that have not been rejected based on the offer evaluation criteria presented below.
● price of banking services – weight (criterion importance) 80% (number of possible points to obtain – 80)
● interest rate on funds in current accounts and term deposit accounts in PLN – weight 20% (number of possible points to obtain – 20)
6. Points for the “Price” criterion will be calculated according to the formula:
K1 = CN/CB x Wcob
K1 – number of points in the “Price of banking services” criterion rounded to two
decimal places
CN – gross price of banking services for the cheapest offer
CB – gross price of banking service of the tested offer
Wcob – weight of the “banking service price” criterion = 80%
For the “price of banking services” criterion, a maximum of 80 points can be awarded.
In order to calculate the price of banking services offered, the Contractor will provide in the submitted offer the gross unit values of individual fees specified below in points 6.1 – 6.21, and then sum up these fees multiplied by the estimated number of operations in accordance with the formula below:

The offer price, in the part concerning the overdraft facility (points 6.19, 6.20 and 6.21), should be given as the sum of the commission for granting/initiating the loan, the loan administration fee, the interest on the loan used in the indicated period, the interest on the unused loan (so-called commitment commission). For the purposes of
comparability of offers to calculate the offer price, in the part concerning the costs of the overdraft facility (points 6.15, 6.20 and 6.21), the Contractor will make the following assumptions:
a) commission for granting/initiating a credit line – total value,
b) interest on the used loan, calculated for the loan period indicated in points 6.12, 6.20 and 6.21, calculated by multiplying the maximum loan value, i.e. PLN 1,500,000, by the loan interest rate (WIBOR 1M of August 30, 2025 increased by the Contractor's margin),
c) interest on unused credit (so-called commitment commission), calculated for the credit period indicated in points 6.12, 6.20 and 6.21, calculated by multiplying the maximum credit value, i.e. PLN 1,500,000, by the Contractor's interest rate.
If the sum of all fees specified in points 6.1 – 6.21 in the examined offer is equal to PLN 0.00, the Ordering Party will award the maximum number of points (80 points) in the “Price of banking services” criterion, while assuming for the purposes of calculating the Offer Price criterion, where C > PLN 0.00, that the Price of the offer with the lowest price is PLN 0.01.
The Contractor will perform all other activities within the scope of the execution of the subject of the contract free of charge.
7. Assessment of the criterion "interest rate on funds in current accounts and deposit accounts/term deposits in PLN". Interest rate on funds in current accounts in PLN and deposit accounts in PLN is based on the appropriate WIBID rate adjusted for:
– the Contractor's margin factor by which the WIBID rate will be reduced,
– the bonus coefficient granted by the Contractor by which the WIBID rate will be increased.
The following elements will be assessed under the criterion:
a) Interest rate on term deposits above PLN 0.5 million, weighting 10%,
b) Interest rate on term deposits below PLN 0.5 million, weight 5%,
c) Interest rate on funds in the current account, weighting 5%.
The ordering party will evaluate the interest rate correction coefficient for deposits in PLN. This evaluation will be made using the formulas below, assuming that the correction coefficient for the margin charged by the Contractor will be below 1, and for the premium – above 1. The most favorable in each case
The offers that receive the highest scores in these criteria will be considered. The number of points (K2) awarded for the criterion "Interest rate on funds in current accounts and deposit/term deposit accounts in PLN" will be calculated as follows:
K2 = K01+K02+K03 where K01, K02 and K03 are the point scores of the individual elements (i.e.
01,02,03) the criterion "interest rate on funds in current accounts and deposit/term deposit accounts in PLN", calculated as follows:

8. The final evaluation of the offers will be calculated as the sum of the points obtained in the individual evaluation criteria according to the following formula:

The most advantageous offer will be selected as the one that achieves the best balance of price and other offer evaluation criteria, among the offers that are not subject to rejection, i.e. obtains the highest number of points.

VII. General information about the Ordering Party
1. Balance of funds remaining in the Ordering Party's bank accounts as of:
a) December 31, 2024 – PLN 24,755,000 PLN,
b) June 30, 2025 – PLN 16,995,000. PLN,
c) August 31, 2025 – PLN 10,400 thousand PLN,
d) As of December 31, 2025 (planned) – PLN 25,000 thousand.
2. Planned number of the Ordering Party's bank accounts during the service provision period: 50,
including:
a) accounts held in PLN – 50 pcs.,
b) accounts held in EUR – 5 pcs.,
c) accounts held in other currencies – 5 pcs.
3. The Ordering Party's banking operations planned during the contract execution period:
a) average monthly number of domestic transfers submitted electronically – 750,
b) average monthly number of domestic transfers submitted in other forms – 20,
c) average monthly number of consolidated domestic transfers /
mass submitted in electronic form – 30 pcs.,
d) average monthly number of foreign transfers submitted electronically – 100,
e) average monthly number of foreign transfers submitted in another form – 5 pcs.
4. Cash operations:
a) average monthly number of cash withdrawal orders in PLN – 5,
b) average monthly number of cash withdrawal orders in foreign currencies – 5,
c) average monthly number of cash deposits into the bank account – 5 pcs.

VIII. Method of preparing the offer:
1. The offer should be submitted on the form attached to this Request for Proposals: "Offer for the provision of banking services for the Cooperation Fund Foundation".
2. The offer must be completed on a computer in Polish and submitted in paper form, signed by the persons authorized to represent the Contractor. The Ordering Party does not allow the submission of offers electronically.
3. All pages of the offer must be signed or initialed by the Contractor. If the Contractor makes any handwritten changes (amendments) to the prepared offer, they must be confirmed by initialing and stamping the areas where the changes were made by an authorized representative of the Contractor or the Contractor itself, unless the authorized representative or the Contractor does not have a stamp. Otherwise, these changes will not be considered.
4. The pages of the offer should be permanently bound together and numbered consecutively; the content of the offer should include information on the number of pages.
5. The offer must be accompanied by all documents listed in Section IX of the Request for Proposals. Furthermore, a power of attorney to sign the offer must be attached, unless the right to sign the offer is implied by other documents submitted with the offer. The power of attorney must clearly specify the activities to which the authorized representative is authorized.
6. The Contractor may introduce changes or withdraw the submitted offer provided that the Ordering Party receives a written statement from the Contractor about the changes or withdrawal of the offer before the deadline for submission of offers.
7. The Contractor's declaration of amendment or withdrawal of the offer should be sent to the Ordering Party in writing, on paper, immediately after the Ordering Party has made the decision to amend or withdraw the offer, but before the deadline for submitting offers specified in this Request for Proposals. Envelope
containing the declaration should be appropriately stamped (company stamp) and marked in a manner that raises no doubts as to its origin and intended use. The envelope should also be marked with the phrase "Change to the content of the Offer to provide banking services to the Cooperation Fund Foundation" or "Withdrawal of the Offer to provide banking services to the Cooperation Fund Foundation."
8. Illegible offers or offers prepared in a manner different from that specified in the Request for Proposals will be rejected and will not be subject to evaluation by the Ordering Party.
9. The full offer together with the required documents should be submitted in a sealed envelope (packaging), addressed to the Ordering Party and marked as follows:

– by post or courier, or
– in person at the Office of the Cooperation Fund Foundation, ul. Górnośląska 4 A, 00-444 Warsaw.

IX. Documents required from the Contractor:
1. Offer in accordance with Appendix No. 1
2. To confirm compliance with the conditions set by the Ordering Party, the Contractor must submit the following documents:
a. A current extract from the relevant register or a current certificate of entry in the business register, if separate regulations require an entry in the register or a notification in the business register, issued no earlier than 3 months before the deadline for submission of bids. If the Contractor has its registered office or place of residence outside the Republic of Poland, it must submit a document or documents issued in the country where it has its registered office or place of residence, confirming that it has not been subject to liquidation or declared bankrupt.
b. A concession, permit or license to conduct banking activities and provide services covered by the subject of the order in Poland, if the laws impose an obligation to have them in the scope covered by this order.
c. A policy or other insurance document confirming that the Contractor is insured against civil liability within the scope of its business activities. If the Contractor is based or resides outside the Republic of Poland, it must submit a document or documents issued in the country where it is based or resides, confirming that it is insured against civil liability within the scope of its business activities.
d. Balance sheet, profit and loss account and statement of changes in equity for the last two financial years, and if the period of business activity is shorter – for that period. The above-mentioned documents are to confirm that the company has
Contractor at the end of the last two financial years:
– share capital of not less than PLN 200 million,
– equity capital (fund) of at least PLN 2 billion.
e. Declaration that during the last 3 years the Contractor/s has/have served at least one corporate entity whose annual turnover was not lower than PLN 100 million,
and the type and scope of services provided to him as part of banking services corresponded to the subject of the order.

XI. The offer must be submitted by: October 24, 2025, 12:00 noon

XII. Other provisions
1. The Ordering Party will select the offer based on the offer evaluation criteria.
2. This Request for Proposals does not constitute an obligation on the part of the Cooperation Fund Foundation to conclude a contract.
3. Offer validity period: 60 days from the end of the offer submission deadline.
4. The Ordering Party reserves the right to cancel the inquiry without giving any reason at any time, even after the submission and consideration of offers, and also reserves the right not to make a selection.
5. The Ordering Party may conduct price negotiations with the Bidder whose offer was selected.
6. After selecting the most advantageous offer, the Ordering Party will immediately call on the bidder who submitted the most advantageous offer to conclude the contract. If the bidder fails to conclude the contract within seven days of being called to sign the contract, the Ordering Party may begin negotiations with the bidder whose offer was next in line.
7. There is no possibility of appealing against the selection made.

XIII. Obligations of the Data Administrator related to the protection of personal data
1. The controller of personal data included in the offer is the "Cooperation Fund" Foundation (hereinafter referred to as the "CONTROLLER"), with its registered office at ul. Górnośląska 4a, 00-444 Warsaw. The Controller can be contacted in writing, by traditional mail at the following address: ul. Górnośląska 4a, 00-444 Warsaw or by e-mail at
address: cofund@cofund.org.pl.
2. The Controller has appointed a Data Protection Officer who can be contacted at the following e-mail address: iodo@cofund.org.pl.
3. Personal data are processed on the basis of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).
4. Personal data will be processed for the purpose of:
a. acceptance and evaluation of the submitted offer for comprehensive banking services
Cooperation Fund Foundation and making decisions regarding the selection of the Contractor – Article 6 paragraph 1 letter b of the GDPR;
b. compliance with legal obligations imposed on the Controller – Article 6, paragraph 1, letter c of the GDPR;
c. for the purpose of establishing and pursuing claims or defending against claims – Article 6(1)(f) of the GDPR.

The data of Tenderers who are not selected will be processed for 3 years from the end of the procedure, while the data of the Contractor who is selected will be processed for 5 years from the end of the calendar year in which the service was completed.

3. The Administrator will transfer personal data to other entities only on the basis of legal provisions, as well as on the basis of concluded personal data processing agreements, in particular to IT system suppliers, including Microsoft.
4. You have the right to:
a) request access to personal data, their rectification, deletion or restriction of processing;
b) object to the processing and the right to transfer data;
c) lodge a complaint against the Administrator's actions with the President of the Personal Data Protection Office.
5. Personal data comes from the offeror.
6. The Administrator does not intend to transfer data to a third country or an international organization.
7. The Administrator will transfer personal data to other entities only on the basis of the provisions
law, as well as on the basis of concluded personal data processing agreements, in particular with IT system suppliers, including Microsoft.
8. You have the right to:
a) request access to personal data, their rectification, deletion or restriction of processing;
b) object to the processing and the right to transfer data;
c) lodge a complaint against the Administrator's actions with the President of the Personal Data Protection Office.
9. Providing personal data is necessary to submit an offer.
10. The Administrator does not envisage automated decision-making.
