Request for quotation for advisory services in the preparation of the necessary documentation for the operation of a Seed and Venture Capital Fund.
The Cooperation Fund Foundation requests that you submit your offer, taking into account the following requirements:
Description of the subject of the order:
Advisory support in preparing the necessary documentation for the operation of the Seed and Venture Capital Fund, i.e.
1. Support in creating the Fund's investment strategy
2. Preparation of substantive assumptions necessary for the legal development of the following documents:
- NDA
- Term Sheet
- Investment Agreement
3. Preparation of the regulations for the work of the investment committee
4. Development of a template form for submitting investment projects
5. Development of rules for the recruitment of projects to the Fund and a marketing strategy for the Fund.
6. Participation in consultations on the above-mentioned documents at the Ordering Party's office
(min. 7 consultation meetings).
The scope of the service may also include other tasks that, during the execution of the order, prove necessary for the proper functioning of the Fund.
All documents and work will be conducted in Polish.
The total number of service hours may change, but not more than 25% of the total.

Górnośląska Street 4a,
Deadline: September 30, 2016.
Requirements for the Contractor (subjective criteria):
1. The Contractor is obliged to demonstrate that it is the managing entity for at least one Seed/VC Fund with total assets (value of invested funds) of at least PLN 5 million over the last 3 years.
2. The Contractor has experience in preparing documentation consistent with the scope of service for at least 1 Seed/VC Fund in the last 3 years
3. The Contractor will engage two experts with appropriate experience to carry out the service and who will be directly involved in the implementation of this service:
- Expert No. 1 – 60 hours – with experience in managing a Seed/VC Fund (min. 3 years) and conducting investment transactions on the Venture Capital market, i.e. at least 5 completed transactions with a value of at least PLN 100,000 each, totaling at least PLN 2 million
- Expert No. 2 – 90 hours – with experience working for a Seed/VC Fund as an investment manager or equivalent, at least 2 years
- Both experts should demonstrate experience in preparing documentation for at least 1 Seed/VC Fund (documentation consistent with the scope of service)
- The total involvement of both experts is 150 hours.
Offer evaluation criteria: 100% price
Method of preparing the offer:
- The offer should contain all required information proving that the Contractor meets all the requirements and criteria.
- The price offer should include the total net and gross amount for the entire service, i.e. 150 hours of consulting, along with an indication of the hourly rates for expert no. 1 and expert no. 2.

- deliver it in person to the FFW Office at the following address: Fundacja Fundusz Współpracy, ul. Górnośląska 4a, 00-444 Warsaw – the date and time of receipt by the Foundation will be decisive. With a note on the envelope or in the subject line of the message: "Offer for advisory services for the Seed/VC Fund".
